PRESS RELEASE OVERVIEW

Software Equity Group’s Client, Rebis, acquired by Bentley Systems

San Diego, CA – July 30, 2002 – Software Equity Group, L.L.C. (SEG), a leading technology M&A Advisor, announced today that Rebis, a global leader in plant design software, was acquired by Bentley Systems. SEG advised Rebis throughout the sale process, including Bentley’s purchase of a minority interest in Rebis earlier this year. In connection with this investment, Bentley received an option to purchase the remainder of Rebis, which it subsequently exercised.

“This acquisition is of great significance to Bentley and Rebis users, and to the plant design market,” said Greg Bentley, CEO of Bentley. “All of our respective users will benefit from the capabilities of a more interoperable environment.”

According to Dr. Jeffrey Hollings, former Rebis CEO and now Senior VP at Bentley, “Within Bentley, our vision is to bring interoperable plant design solutions to users, providing not only a tremendous advantage to owner operators and contractors, but also a first for this industry.”

According to Charles Foundyller, CEO of industry research group Daratech, “This acquisition holds great promise to bring together the historically incompatible installed bases of DGN and DWG engineering applications and content in the plant creation industry. This is good news for Bentley and Rebis users, which may well represent the largest number of user seats among all plant-specific design applications.”
